These Terms of Use govern access to and use of baytechltd.com and any services described on this website. By using this website or engaging Bay Tech Ltd. (“Bay Tech”, “the company”, “we”) for services, the visitor or client agrees to these terms.
1. Scope
These terms apply to all visitors of baytechltd.com and to the use of any public-facing materials published on the site. Specific client engagements (including statements of work, fixed-fee project agreements, and ongoing service retainers) are governed by separate written agreements between the company and the client. Where a written engagement agreement exists and conflicts with these terms, the engagement agreement governs.
2. Services described on this website
The descriptions of services on baytechltd.com are general in nature and do not constitute an offer, a promise of specific deliverables, or a guarantee of any particular outcome. Specific scope, timeline, pricing, acceptance criteria, and support terms are set out in the written engagement agreement for each project.
3. Intellectual property
The content of baytechltd.com — including text, layout, code, logos, the Bay Tech wordmark and monogram, and the visual identity of the site — is the property of Bay Tech Ltd. or its licensors and is protected by Canadian and international intellectual property law. The content may be viewed in a standard web browser for personal and lawful business purposes; it may not be copied, republished, redistributed, scraped at scale, or used to train any automated model without the prior written consent of Bay Tech Ltd..
Trademarks, product names, and brand names of third parties referenced on this site (where any are referenced in describing services or integrations) are the property of their respective owners and are used here for descriptive purposes only.
4. Acceptable use
The visitor agrees not to:
- Use the site in a way that violates any applicable Canadian or foreign law.
- Attempt to interfere with the operation of the site or its infrastructure (including denial-of-service attempts, intrusion attempts, or automated abuse).
- Misrepresent the visitor’s identity, affiliation, or authority in any communication with the company through the site.
- Submit content through the contact form that is unlawful, defamatory, or infringes the rights of others.
5. Submissions through the contact form
Information submitted through the contact form is handled in accordance with the Privacy Policy. Submissions are not treated as confidential except where a separate non-disclosure agreement is in place between the company and the sender. Visitors should not include sensitive information (such as passwords, financial account numbers, or health information) in a contact-form submission.
6. Disclaimers
The site and its content are provided “as is” and “as available”. To the maximum extent permitted by applicable Canadian law, Bay Tech Ltd. disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Information published on the site is provided for general informational purposes. It does not constitute professional advice and should not be relied on as such.
7. Limitation of liability
To the maximum extent permitted by applicable Canadian law, the total liability of Bay Tech Ltd. arising out of or relating to the use of baytechltd.com is limited to one hundred Canadian dollars (CAD $100). Bay Tech Ltd. is not liable for any indirect, consequential, incidental, special, or punitive damages, including loss of profits, loss of business, or loss of data, even if the company has been advised of the possibility of such damages.
This limitation does not apply to liability that cannot be excluded or limited under applicable Canadian law (including the Manitoba Consumer Protection Act and federal consumer-protection legislation where it applies). For client engagements, the limitation of liability set out in the written engagement agreement governs in place of this section.
8. Third-party links
baytechltd.com may contain links to third-party websites (for example, to the Wired N Wireless retail storefront). Third-party sites are not under the control of Bay Tech Ltd., and the company is not responsible for the content, policies, or practices of those sites.
9. Governing law
These terms are governed by the laws of the Province of Manitoba and the federal laws of Canada that apply in Manitoba. Any dispute arising out of or relating to these terms or the use of baytechltd.com is to be resolved exclusively in the courts of Manitoba, and the visitor consents to the personal jurisdiction of those courts.
10. Entire agreement
These terms, together with the Privacy Policy, constitute the entire agreement between the visitor and Bay Tech Ltd. with respect to the use of baytechltd.com and supersede any prior agreements or understandings on that subject. For client engagements, the written engagement agreement for the specific project governs.
11. Changes
These terms can be updated from time to time. The current version is always published at https://baytechltd.com/legal/terms with a “last updated” date at the top. Continued use of the site after a change takes effect constitutes acceptance of the updated terms.
